Who we are
CooCoo (coocoo.party) is run by OpenLegion LLC, a Wyoming limited liability company (“we”, “us”). These terms are an agreement between you and OpenLegion LLC. By using the site you accept them; if you don’t, don’t use it. You can reach us at admin@curiouscake.com, or through @CooCooParty on X.
What this is
CooCoo is a meme-coin community site and a launchpad: software for sending transactions from your own wallet to smart contracts on public blockchains. Nothing here is financial, investment, legal or tax advice, and nothing here is an offer to sell anything. We are not a bank, broker, dealer, exchange, custodian, investment adviser, fiduciary or money transmitter. Any token, including $PIGEON and every token launched here, can lose all of its value.
Letters and walls
Anything you write or draw on the site is public: it is shown to everyone who opens your links, rendered into share images, and may be kept in earlier versions. By mailing a letter or drawing on a wall you give us a worldwide, royalty-free licence to display, reproduce and adapt it for the site and its share images, for as long as the site exists. You keep whatever rights you have in it.
Don’t publish anything hateful, sexual, harassing, defamatory, deceptive, or that names a wallet address, link or contact. Don’t publish anything you don’t have the right to. Text is checked against a short list of rules; nothing else is inspected before it appears. Anyone can report what is on a wall, and we may hold, hide or remove anything, and suspend anyone, at our discretion and without notice.
Fee sharing
We may share part of the trading fees the project receives with members according to rules we publish and can change at any time. Amounts depend on trading activity and can be zero. Nothing about it is guaranteed, owed, or a promise of income; it is a discretionary community programme and we can pause or end it.
Who may use the launchpad
You must be at least 18 and able to accept these terms. You may not use the launchpad if you are located in, resident in, or organised under the laws of the United Kingdom, a member state of the European Union, Cuba, Iran, North Korea, Syria, Russia, Belarus, Myanmar, Venezuela, or the Crimea, Donetsk or Luhansk regions of Ukraine; if you are named on, or owned or controlled by anyone named on, a sanctions list of the United States, the United Nations, the European Union or the United Kingdom; or if you are acting for anyone who is. Don’t use a VPN or any other means to get around this. If any of it becomes true of you, stop using the launchpad.
The launchpad
We never hold your funds or your keys, and we don’t send transactions for you. Our keeper only sends the upkeep a launch needs: it graduates a launch that has crossed its threshold, seeds a graduated launch’s pool, and sweeps fees to where they are owed. A transaction can’t be undone once it is sent. Anyone can launch a token: we don’t vet, review or endorse launches, and a launch’s name, picture, description and links are its creator’s. Showing a token on the site is not a recommendation or a statement about its value, safety or legitimacy. We may hide a launch from this site, but we can’t stop it trading on chain.
Every trade pays a fee, shared between the protocol and the launch’s creator. A creator can turn on buybacks: half of their share of each fee then buys the token back, and what it buys is locked and released over five years, split between the creator and the protocol. A creator can also add their own tax of up to 10% on every trade for the life of the token, buy at launch, and let chosen wallets skip the launch-window tax; each token’s page shows these. Your wallet and the blockchain may charge network fees on top.
As the contracts’ owner we can, after a three-day notice, redirect a launch’s creator fees; send a graduated launch’s reserves to an address we choose if its pool still hasn’t been created seven days later; pay fees that are stuck straight to the people they are owed to; replace the operator that sweeps fees; and change the terms that future launches start with. We can’t take the reserves of a trading curve or the liquidity of a pool.
Launches trade against assets that others issue: on Robinhood Chain, ETH, Paxos’ USDG, Coinbase’s cbBTC, TAO bridged by Chainlink, and Robinhood’s Stock Tokens; on Arc, Circle’s USDC, which is also what Arc’s fees are paid in. Their issuers can pause, block, burn or change them, and that can freeze a launch paired with one or take value from it. A Stock Token is not a share, and whether you may hold one is decided by Robinhood’s own rules. On a test network, tokens have no value.
Risks you take on
You can lose some or all of what you put into a token or a trade. Smart contracts can contain defects, however carefully they are reviewed. Blockchains, wallets, RPC providers, bridges and the other services the launchpad relies on can fail, be attacked or stop. Prices, dollar values and other market data shown here come from third parties and can be wrong, late or manipulated. Tokens can be illiquid, worthless, or treated differently by the law where you are, and the law can change. Any taxes are yours.
What you may not do
Don’t use the site to break any law or sanction. Don’t launch or promote a token to raise capital, pool investors’ money, or represent equity, debt, a share of profits or any other claim on a business or an asset: launches here are memecoins. Don’t impersonate a person, brand, project or asset, or publish a launch’s name, picture or links to mislead. Don’t manipulate markets (wash trading, spoofing, coordinated pumps), defraud anyone, launder money or fund crime. Don’t attack, overload or scrape the site, or get around its limits or access controls.
Accounts
One membership per person. Using more than one X account, automation, or made-up activity to influence rankings or rewards forfeits them. You are responsible for your X account and any wallet you connect.
Disclaimers and limits
The site is provided as is and as available, without warranties of any kind, including merchantability, fitness for a purpose, accuracy, security or uninterrupted operation. To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, tokens or data, or for anything caused by a blockchain, a wallet, a smart contract, an asset’s issuer or another third party. Our total liability to you for any claim is limited to the greater of the fees you paid directly to us in the twelve months before the claim arose, or one hundred US dollars.
You agree to defend and indemnify OpenLegion LLC and its members and contractors against any claim, loss or cost arising from your use of the site, what you publish or launch, or your breach of these terms or of any law.
Disputes
These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. If you have a dispute with us, email us first at admin@curiouscake.com; we both agree to try to resolve it informally for 60 days. If that doesn’t work, the dispute will be decided by binding individual arbitration administered by the American Arbitration Association under its applicable rules, seated in Wyoming and held remotely where the rules allow; either of us may instead bring an individual claim in small claims court. You and we each give up the right to a jury trial and to bring or join any class, collective or representative proceeding. You may opt out of arbitration by emailing us at admin@curiouscake.com within 30 days of first accepting these terms. If arbitration is not available, disputes go to the state or federal courts in Wyoming.
The rest
We may change these terms; the date above says when they last changed, and using the site after a change means you accept it. If any part of these terms can’t be enforced, the rest still applies, and our not enforcing a part is not a waiver of it. These terms are the whole agreement between you and us about the site.
